Terms & Conditions

These terms govern your use of Rio.

These Terms are an agreement between you and RCUBE INNOVATIONS INC., the operator of Rio.

By creating an account or using Rio, you agree to these Terms.

Eligibility

You must be legally able to enter into these Terms.

If you are not legally able to enter into these Terms on your own, a parent or legal guardian must agree on your behalf.

Using Rio

Rio is a personal productivity and AI-assistance service that may provide features for managing information such as tasks, calendar events, notes, habits, reminders, documents, messages, and connected services.

Features may change as Rio develops.

Your account

You are responsible for maintaining accurate account information and keeping your credentials secure.

You are responsible for activity performed through your account unless applicable law provides otherwise.

Contact us promptly if you believe your account has been compromised.

Actions you ask Rio to perform

Rio may allow you to instruct it to create, edit, move, complete, delete, send, schedule, or otherwise modify information.

By requesting such an action, you authorize Rio to perform the action using your account and any connected services for which you have granted the necessary permissions.

AI systems can misunderstand requests. You remain responsible for reviewing important or consequential actions and information.

Artificial intelligence processing

Rio's AI assistant and other AI-powered features depend on third-party artificial intelligence services. By creating an account and using Rio, you authorize us to send information reasonably necessary to provide those features to our current AI processing provider, Google, through the Gemini API (Google Gemini).

Depending on your requests, this may include your messages, relevant conversation context, and other information described in our Privacy Policy. AI processing is essential to core Rio functionality; if you do not agree to this processing, do not create an account or use Rio's AI features.

You control what Rio can reach: what you write in Rio, which third-party services you connect, and which features you use. You may disconnect a connected service or close your account at any time.

AI-generated information

Rio uses artificial intelligence, and AI-generated responses may sometimes be incomplete, inaccurate, or inappropriate for your circumstances.

Do not rely on Rio as a substitute for professional medical, legal, financial, or other qualified professional advice.

Your content

You retain ownership of content you submit to Rio.

You give us the limited rights necessary to host, process, transmit, and use that content to operate, secure, maintain, troubleshoot, and provide Rio in accordance with our Privacy Policy.

We do not use your content to train third-party AI models unless you separately agree to such use.

You are responsible for ensuring you have the right to provide content to Rio.

Signing in with a third-party account

Where Rio offers it, you may authenticate through a third-party identity provider such as Google, Apple, or Microsoft. Using such a provider authorizes us to use the authentication information it makes available to sign you in and maintain your Rio account.

Signing in with a third-party account does not by itself connect any other service from that provider. For example, using Google to sign into Rio does not connect Google Calendar or authorize Rio to access calendar information. Additional services require separate authorization.

Where technically supported, we may associate more than one authorized sign-in method with the same Rio account. We do not guarantee that separate accounts can be merged.

Connected services

You may choose to connect third-party accounts and services to Rio — for example Google Calendar, Microsoft services, Apple services, or other services Rio supports.

When you connect such a service, you authorize Rio to access information and, where supported and requested by you, to perform actions through that service, according to:

  • the permissions you grant;
  • what the external service allows; and
  • the Rio features you enable or request.

Rio cannot exceed your own permissions with the underlying provider. If your access to a calendar is read-only, Rio's access to it is read-only too. Some connections are read-only by design, and Rio will not change information in the external service through them.

When you ask Rio to make a change in a connected service — such as creating, updating, rescheduling, or cancelling an event — you authorize Rio to send that instruction to the service on your behalf, where the feature is offered and the connection supports it. Rio may suggest changes on its own; it makes a change in an external service only when you ask it to through Rio.

Information you keep in a connected service remains information maintained through that service. Rio may display it, process it, synchronize it, and change it where you have authorized that. Connecting a service does not transfer ownership or control of that service to us.

Those services are operated independently and may have their own terms and privacy policies. Their availability, APIs, terms, account restrictions, and administrator policies are outside our control.

Rio is not responsible for third-party services, their availability, or changes they make to their products or APIs. A connected service may become unavailable, change how it works, or have its authorization revoked, and Rio's related features may stop working as a result.

Disconnecting a service

You may disconnect a connected service from Rio at any time, and where the provider offers it, revoke Rio's access from your account with that provider.

Disconnecting a service prevents Rio from continuing to access it through the disconnected authorization, subject to technical processing and applicable retention requirements described in our Privacy Policy.

Disconnecting a service from Rio does not delete your account or your information with that third-party service. Deleting information there is something you do through that service.

Where Rio offers sign-in through the same provider, disconnecting a service does not remove your ability to sign in, and signing out of Rio does not disconnect a connected service. These are separate authorizations.

Acceptable use

You may not use Rio to:

  • violate applicable law;
  • infringe another person's rights;
  • compromise or attempt to compromise Rio's security;
  • gain unauthorized access to another person's account or information;
  • distribute malware or malicious code;
  • interfere with Rio's operation;
  • abuse service limits or circumvent technical restrictions; or
  • use Rio in another manner we reasonably determine creates material security, legal, or operational risk.

Paid services

If Rio offers paid subscriptions, applicable prices, billing periods, renewal terms, and cancellation options will be presented before purchase.

Additional payment terms may apply through the payment provider or application store used for the transaction.

Availability and changes

We work to keep Rio available and reliable, but we do not guarantee uninterrupted or error-free operation.

We may add, change, discontinue, or limit features as the service develops.

Suspension and termination

You may stop using Rio at any time.

We may restrict or suspend access when reasonably necessary to protect the service, other users, or comply with law, including in cases of fraud, abuse, security threats, or material violations of these Terms.

Intellectual property

Rio, its software, branding, designs, and other materials provided by us are owned by RCUBE INNOVATIONS INC. or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Rio to you.

Feedback

If you send us ideas or feedback about Rio, you allow us to use that feedback without restriction or compensation to you.

Disclaimer

Rio is provided on an “as available” basis to the extent permitted by applicable law.

We do not guarantee that Rio will always be available, error-free, or suitable for every purpose.

Limitation of liability

To the maximum extent permitted by applicable law, RCUBE INNOVATIONS INC. will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of Rio.

Changes to these Terms

We may update these Terms as Rio evolves.

If a change materially affects your rights, we will provide notice where required.

Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, except where the laws of your place of residence require otherwise.

Nothing in these Terms limits any consumer rights that cannot legally be waived.
